Intermap Technologies Reports 2016 Second Quarter Financial Results

DENVER – August 12, 2016 (TSX: IMP) – Intermap Technologies Corporation (“Intermap” or the “Company”) today reported financial results for the second quarter ended June 30, 2016. A conference call will be held today, August 12th, at 11:00 a.m. Eastern Time to discuss the results.

All amounts in this news release are in United States dollars unless otherwise noted.

Intermap reported total revenue of $0.9 million for the second quarter of 2016, a 20% increase from $0.7 million in the second quarter of 2015. The majority of the year-over-year increase in revenue was from increased data licensing and InsitePro software sales. Net operating loss for the second quarter of 2016 was $3.5 million, compared to a net operating loss of $4.4 million for the second quarter of 2015. Second quarter adjusted EBITDA, a non IFRS financial measure, was a loss of $3.3 million, an improvement from an adjusted EBITDA loss of $3.7 million for the same period in 2015. Adjusted EBITDA excludes share-based compensation, change in value of derivative instruments, and gain or loss on foreign currency translation.

“During the quarter we supported efforts to obtain the project financing associated with a $175 million spatial data infrastructure (SDI) contract that we announced in February of this year. Although Intermap is not responsible for the project financing on this contract, we provide support to our client in connection with their negotiation of final financing terms,” said Todd Oseth, President & CEO of Intermap. “If and when project financing is completed, we will issue a detailed press release. We believe this award can be a catalyst to close other large Orion Platform government implementations in the future, as well as promote Intermap’s location based Platform-as-a-Service (PaaS) and Software-as-a-Service (SaaS) product offerings for the enterprise sector.”

Mr. Oseth added, “During the second quarter we continued to see expanded interest in our InsitePro™ user base in the US. Our risk based customers have expressed significant interest in InsitePro’s capabilities and the fact that we can customize the application for proprietary risk scoring to suit their individual needs. In addition to the expansion of our software business, we also received repeat business for further data acquisition in North America. The expanded contract was for $2.6 million and further task orders to expand this project are expected. The flying portion of this contract is now complete, ahead of schedule and under budget. Our data acquisition results surpass our published specifications. We continue to create a high quality dataset for this customer.”

Financial Review
Consolidated revenue for the second quarter of 2016 totaled $0.9 million and included (i) $0.1 million in mapping services, (ii) $0.1 million in professional services, (iii) $0.4 million in data licensing, and (iv) $0.3 million in software licensing. For the same period in 2015, consolidated revenue totaled $0.7 million and included (i) $0.1 million in mapping services, (ii) $0.1 million in professional services, (iii) $0.3 million in data licensing, and (iv) $0.2 million in 3DBI software licensing. Contract backlog at the end of the quarter totaled $3.5 million.

JAKARTA, Indonesia - Intermap, a leading provider of location-based information (LBI) solutions created from its uniform, high-resolution 3D digital models and orthorectified imagery of the earth’s surface, today announces that three of the Company’s executives will participate in the 10th Annual Asian Conference and Exhibition on Geospatial Information, Technology and Applications being held Oct. 17-19 in Jakarta, Indonesia. 

Intermap’s unprecedented and highly successful NEXTMap® 3D digital mapping program offers uniform and precise wide-area elevation data and orthometric images. NEXTMap uses best-of-breed elevation data sets from a variety of remote sensing technologies (interferometric synthetic aperture radar (IFSAR), LiDAR, photogrammetry, and satellite radargrammetry) to obtain the best available high resolution x, y and z coordinates of the Earth’s landmass. Intermap has mapped more than 2 million square kilometers in Southeast Asia under the NEXTMap Program. This data set provides the regions first cloud free orthorectified radar imagery and digital terrain models suitable for topographic and geologic mapping, hazard analysis, and water management applications. 

The NEXTMap dataset includes a digital surface model (DSM) which contains elevations of cultural features, such as vegetation, buildings and roads; a digital terrain model (DTM) with the elevations of cultural and vegetation features digitally removed; and an orthorectified radar image (ORI) that has been orthorectified to remove geometric distortions caused by the terrain making the images ready for topographic mapping. All products are available via multiple delivery options with flexible pricing and licensing. 

David Cunningham, senior vice president of Sales at Intermap, will participate in a keynote session on the broad range of applications for NEXTMap data in Southeast Asia. 

David Hisdal, vice president of Asia and Australia Sales at Intermap, will participate in a symposium on disaster management. Hisdal will discuss how two catastrophic tsunamis in Southeast Asia have led to the widespread adoption of remote sensing and GIS data as an integrated and successful tool in disaster management and mitigation. 

Lorraine Tighe, director of Geospatial Solutions at Intermap, will be hosting the “Asia Pacific High Resolution Elevation Data and Cloud Free Imagery Applications Workshop,” which will provide participants with a look into how Intermap’s NEXTMap data was collected, what the mapping products are and how to use them. Intermap Technologies Announces Annual General Meeting

DENVER: Intermap Technologies Corporation ("Intermap" or the "Company") today announced that its Directors have approved the date of its 2010 annual general and special meeting of the shareholders on May 11, 2010. Meeting materials will be sent in accordance to Canadian securities policies with the audited year-end financial statements and accompanying annual report.

Among other matters, shareholders at the meeting will be asked to ratify a Shareholder Rights Plan (the "Rights Plan") adopted by the Directors carrying identical terms to the one that has been in place over the past several years. 

The Company has not adopted the Rights Plan in response to any specific proposal to acquire shares of the Company. The Company is merely required to reapprove its Plan every three years. The Rights Plan is similar to current, standard plans adopted by other Canadian companies and approved by their shareholders.

The Rights Plan has been re-adopted by the Board of Directors to ensure the fair treatment of shareholders in connection with any take-over offer for the Company, and to provide the Board of Directors and shareholders with additional time to fully consider any unsolicited take-over bid. The Rights Plan will also provide the Board of Directors more time to pursue, if appropriate, other alternatives to maximize shareholder value.

The Rights Plan has been conditionally accepted for filling by the Toronto Stock Exchange, is effective as of February 2, 2010 and must be approved by shareholders at the 2010 annual and special meeting of the shareholders of the Company. If approved by shareholders, the Rights Plan will have an initial term of three years. If not approved, the Rights will be redeemed in accordance with the terms of the Rights Plan.

The Rights Plan is not intended to prevent take-over bids. Under the Rights Plan, those bids that meet certain requirements intended to protect the interests of all shareholders are deemed to be "Permitted Bids."  Permitted Bids must be made by way of a take-over bid circular prepared in compliance with applicable securities laws and remain open for sixty days.

Under the Rights Plan, Rights have been issued and attached to all common shares of the Company issued and outstanding as of the close of business on February 2, 2010. Rights will be issued upon any future issuance of any common shares of the Company that occurs prior to the Separation Time (as defined in the Rights Plan).

In the event a take-over bid does not meet the Permitted Bid requirements of the Rights Plan, the Rights will entitle shareholders, other than any shareholder or shareholders making the take-over bid, to purchase additional common shares in the Company at a substantial discount to the market value at the time.
