Intermap Technologies Announces Financing

DENVER: Intermap Technologies Corporation (TSX: IMP.TO, AIM: IMAP.L),  is pleased to announce that in connection with the proposed public offering of common shares previously announced on June 27, 2007, it has entered into an agreement with a syndicate of underwriters led by Canaccord Capital Corporation, including Orion Securities and Raymond James Ltd (collectively, the "Underwriters") for the purchase by the Underwriters of 5,000,000 common shares at a price of C$6.00 per common share for aggregate gross proceeds of C$30,000,000 (the "Offering"). 

The Company has granted the Underwriters an option (the "Underwriters' Option") to purchase up to an additional 1,666,700 Common Shares at a price of $6.00 per Common Share at any time up until 48 hours prior to the closing of the Offering. In the event that the Underwriters' Option is exercised in full, the total aggregate gross proceeds of the Offering will be approximately C$40,000,000. In addition, the Company has granted the Underwriters an over-allotment option (the "Over-Allotment Option"), exercisable for a period of 30 days following the closing of the Offering, to purchase up to that number of common shares equal to 15% of the number of common shares issued pursuant to the Offering. If the Over-Allotment Option and the Underwriters' Option are exercised in full, the gross proceeds of the Offering will increase to approximately C$46,000,000. 

The Company intends to use the net proceeds of the Offering to fund the accelerated development of the NEXTMap USA and NEXTMap Western Europe data sets, development of value-added products, and for general corporate purposes. 

A preliminary short-form prospectus for the Offering was previously filed with the securities commissions in each of the provinces of Canada (except Quebec). A (final) short-form prospectus is expected to be filed with each of the Canadian securities commissions (except Quebec) as soon as possible.

The Offering is expected to close on or about July 12, 2007.

Intermap Technologies Mourns Death of Valued Board Member

DENVER—  Intermap Technologies Corp. today announced the passing of Mr. Richard D. Tingle at 9:30 a.m., Wednesday, June 27. A member of the Intermap board of directors for nearly a decade, Mr.Tingle had practiced law in Calgary, Alberta, Canada since 1964 and received his Queen's Counsel designation in 1981. He joined the Intermap board of directors in 1997 and was a driving force in shaping the Company's current and future vision. 

 “Intermap has lost a fine and dedicated director, and Calgary has truly lost one of its finest citizens,” said Brian Bullock, Intermap's president and CEO. “Richard has been an example to all around him of how to balance a successful career with family life, service to his church, and service to the community. Richard made it a point of helping people around him who had fallen on hard times. He graduated life with honor and without regret and I will miss him deeply.” 

The Company is conducting a search for a replacement member to the board of directors and expects to announce a new member by the end of this calendar year.

DENVER: Intermap Technologies Corporation (TSX: IMP, AIM:IMAP), announced today that it has filed a preliminary short form prospectus in connection with an overnight-marketed public offering (the "Offering") of common shares. The Offering will be conducted through a syndicate of underwriters led by Canaccord Capital Corporation. The Company has granted the underwriters an over-allotment option to purchase that number of additional common shares equal to up to 15% of the common shares sold pursuant to the Offering, exercisable at any time up to 30 days from the closing of the Offering. The Company has also granted the underwriters an option to purchase an additional number of common shares at any time up until 48 hours prior to the closing of the offering. The Offering is subject to certain conditions, including regulatory approval.
